Yo! Welcome to Space.
Last Updated: April 29, 2025
Space is a platform that empowers people to learn, create, and grow. Our mission is to deliver accessible, high-quality education and tools for creators in Myanmar and beyond. We get it – terms of use are not exactly thrilling, but we have tried to make them easy to read and understand.
These Terms of Service ("Terms") apply to your use of Space and all associated services, including our web application, mobile apps, APIs, embeds, and websites ("Space" or "Service"). By using Space, you agree to these Terms and our Privacy Policy, our Community Guidelines and other terms and policies we post.
In these Terms, "we," "us," and "our" refer to Space by MCY.
IMPORTANT NOTICE. PLEASE READ THESE TERMS CAREFULLY AS THEY MAY IMPACT YOUR LEGAL RIGHTS IN THE EVENT OF A DISPUTE BETWEEN US. SPECIFICALLY, CERTAIN DISPUTES BETWEEN US WILL BE HANDLED THROUGH BINDING ARBITRATION — NOT COURT OR JURY TRIALS (EXCEPT AS NOTED BELOW).
1. What is Space?
Space provides a platform and tools to help anyone start, launch, and grow their skills or teaching business. Users can access and sell educational content and services (the "Courses") in two separate ways: (i) on Space, a marketplace for courses and educational services where students ("Students") purchase Courses sold by instructors ("Instructors"), and (ii) through Instructors' own websites, social media accounts, and elsewhere using Space's embedded checkouts and payment tools ("Space Payments"). All Courses are provided solely by Instructors, and Space is not responsible for any Courses sold through the Service.
Space is not a bank or financial institution. All payment services are provided by third-party payment service providers such as KBZ Pay, Wave Money, AYA Pay, CB Pay, and licensed bank partners (collectively, "Financial Partners"). Financial Partners hold all funds in accounts for the benefit of Space users.
2. Eligibility
You must be at least 13 years old or the minimum age required in your country to use Space. If you are between 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms and will supervise your use of Space.
If you are a business or organization, the person accepting these Terms on your behalf confirms they have the authority to do so, and you agree that all references to "you" in these Terms include your organization. You further represent that you have authority to bind that entity to these Terms.
By using Space, you also affirm that you are not prohibited from using services under applicable sanctions or export laws.
3. Accounts and Registration
Account Registration
You must provide accurate and complete information when registering for an account. You are responsible for all activity conducted through your Space account, and you must keep your login credentials confidential. If your account is compromised, notify us immediately at support@myanmarcyberyouths.com.
Linked Accounts & Ownership
When linking external payment accounts ("Linked Accounts"), you confirm that you own them and have the right to link them to our Service. The owner of the first Linked Account with a payment method connected to your account is considered the owner of all associated revenue. Only the Linked Account owner may request changes or removal. We do not mediate disputes regarding account ownership or revenue. By linking a payment account or using Space's payment features, you agree to abide by the terms and acceptable use policies of our payment providers. If a Financial Partner finds you in violation of their rules, they may suspend your payments or account.
Account Verification Requirements
In order to access certain services on Space, including the ability to receive payments for transactions conducted on Space or otherwise involving the Services, you must complete all required identity verification and compliance checks required by third party identity verification services, and our Financial Partners ("KYC Requirements"). If you do not satisfy the KYC requirements or if our payment partner later withdraws its approval of your account, you may be unable to receive payouts, use certain products or your account may be suspended or terminated.
4. Your Privacy
For information about how we collect, use, share, and otherwise process information about you, see our Privacy Policy. By using the Service, you acknowledge that Space will process your personal data in accordance with the Privacy Policy.
5. Your Use of the Service
Use of Space
Subject to your compliance with these Terms, you may use or access our Services.
Community Guidelines
To help make Space a welcoming place for everyone, we've created Community Guidelines that list what is not allowed on the Service. They are part of these Terms. If you violate the Community Guidelines, it counts as violating these Terms. Your account could be suspended or terminated as a result.
Prohibited Uses
When using Space, you must comply with these Terms, our Community Guidelines, and all applicable laws. Below are some examples of prohibited conduct — this is not a complete list:
- Don't do anything illegal. You may not use the Service for any illegal purpose or in violation of any laws.
- Don't harm people. You may not harass, bully, threaten, or engage in any conduct that harms other users.
- Don't harm Space. You may not interfere with how the Service works or take actions that harm our platform, including uploading viruses, reverse engineering, or scraping our services without written consent.
- Don't infringe. You may not infringe, misappropriate, or violate anyone's intellectual property rights.
- Don't commit fraud. You may not engage in fraudulent, deceptive, or dishonest behavior.
- Don't misuse the service. You may not reproduce, copy, sell, resell, or otherwise exploit any portion of the Service without our express written permission.
Software
Our Services may provide software for download, such as mobile apps, which might automatically update to ensure you have the most recent version.
Third party Services
Using Space may include third-party software, products, services, and apps that we do not develop or control. Third-Party services are subject to their own terms and privacy policies. We are not responsible for their functionality, content, or any issues that arise from your use of them.
6. Services and Offerings
Space offers several ways to learn, teach, and engage with the community. Here's how our main features work:
Fees
Using Space is free, but fees may apply to certain transactions and services. We may update our fee structure from time to time.
Learn
You can use Space to purchase Courses from Instructors on our platform or through Space Payments. As a Student, you are solely responsible for reviewing Course listings before making a purchase.
Teach
Space enables you to sell Courses on our platform or through Space Payments. As an Instructor, you may only sell Courses you have the right to sell, and you must describe them accurately.
Earn
Space offers programs that let you earn money by participating in the community, including our Affiliate Program and other ways to earn on Space.
Build
If you use our API to build apps, integrations, or tools on or off Space, our Developer Terms apply.
7. Space Wallet and Balance
When you transact on Space, you may receive funds that become part of your Space Wallet Balance.
Your Space Wallet Balance represents funds held for your benefit with our Financial Partners. You may use your Space Wallet Balance to purchase Courses and services on Space. You may also withdraw your Space Wallet Balance to your bank account. Your Space Wallet Balance cannot be transferred to other people, used as a gift, or used for any purpose other than those stated in these Terms.
We may instruct our Financial Partners to withdraw funds from your Space Wallet Balance for purchases you authorize and any applicable fees. If you are an Instructor, we may also withdraw funds for fines or fees for violations of these Terms, or as required by law or our Financial Partners. Your Space Wallet Balance is held with licensed Financial Partners and is not a deposit.
You must review your transaction history on the Platform and report any unrecognized or incorrect transactions to Space immediately. We reserve the right to not correct errors that occurred over seven (7) days prior to our receipt of a notification of potential error from you. We may correct errors and reverse transactions at any time.
8. User Content
User Content Generally
Certain features of Space allow users to upload, publish, or otherwise submit content to the Service, including course images, descriptions, reviews, and other works ("User Content"). You keep any copyright and other ownership rights that you have in the User Content you post to the Service, subject to the licenses granted in these Terms.
Your license to us
You keep full ownership of your content and what you post on Space, but we need licenses from you for this material to operate Space's services. By making content available on Space or otherwise posting on the platform, you grant us a royalty-free, non-exclusive, sublicensable, worldwide license covering your content in all formats and channels now known or later developed to use, copy, reproduce, store, publicly display, publicly perform, transmit, distribute, modify for formatting purposes, and prepare derivative works.
Your Responsibilities
You are responsible for ensuring you have all necessary rights to post your content on Space. You agree not to post content that infringes others' intellectual property, violates our Community Guidelines, or violates any laws. Your content must be truthful and accurate to the best of your knowledge. Space disclaims any liability in connection with user content — you are solely responsible for what you post and the consequences of posting it.
User Content Disclaimer
We do not review or control User Content and are not responsible for it. However, we may at any time and without notice remove, edit, or block User Content that violates these Terms, our Community Guidelines, or is otherwise objectionable.
9. Communications
Electronic Communications
By using the Service, you agree to receive electronic communications from us, including emails and notifications. You acknowledge that any notices, agreements, disclosures, or other communications we send to you electronically will satisfy legal requirements that such communications be in writing.
Push Notifications
When you install our app on your mobile device, you agree to receive push notifications. You can turn off notifications by visiting your mobile device's "settings" page.
We may send you emails concerning our products and services, as well as those of third parties. You may opt out of promotional emails by following the unsubscribe instructions in the promotional email itself.
10. Termination
Account Deletion
You can permanently delete your account at any time by following the instructions in your account settings.
Account Termination
We may terminate or suspend your Space account at any time, with or without notice, if you violate these Terms, any Space policy, or for any other reason, at our sole discretion. If we terminate or suspend your account and you believe it was in error, you may contact us at support@myanmarcyberyouths.com.
Your Account Balance After Termination
When your account is terminated, we need to ensure that any outstanding obligations are satisfied and that funds are handled appropriately. Upon account termination, your Balance is subject to the following:
- Offsets and Refunds. If your account is terminated or suspended, we may first use any funds in your account to cover damages, chargebacks, fees, fines, or other amounts you owe to us or our Financial Partners.
- Fraud or Illegal Activity. If we reasonably determine that any funds in your account came from fraud, illegal activity, or other unauthorized sources, we or our Financial Partners may withhold those funds.
- Forfeiture. After any offsets or refunds, any remaining funds held by our payment partners on your behalf will be handled according to their policies on unclaimed or abandoned property, including applicable escheatment laws.
Survival of Terms
The following sections of these Terms survive termination: Sections 10 (Termination), 11 (Ownership of Service), 12 (Disclaimer of Warranties), 13 (Indemnity), 14 (Limitation of Liability), 15 (Disputes), and 17 (General Terms), as well as any payment obligations you may have to Space, its Financial Partners, or Students.
11. Ownership of Service
The Service is owned, operated, and provided by us and our affiliates, licensors, distributors, and service providers (collectively "Providers"). We and our Providers retain all of our respective rights, title, and interest, including intellectual property rights, in and to the Service, excluding the Courses. Other than the rights of access and use expressly granted in our Terms, our Terms do not grant you any right, title, or interest in or to our Services. Space's name, logos, and all product or service names associated with the Service are trademarks of Space by MCY or its licensors.
We may add, remove, or modify any part of the Service at any time, temporarily or permanently. We will try to notify you of major changes, but we cannot always do so. We will not be liable for any changes to the Service, including paid features, or for any suspension or termination of your access.
12. Disclaimer of Warranties
The Service and all materials and content are provided "as is" and "as available" without any warranty, express or implied — including warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
We do not warrant that the Service will be uninterrupted, secure, error-free, or free of viruses or harmful components, and does not warrant that any such issues will be corrected.
Courses are provided solely by Instructors. We only facilitate transactions and have no liability for any Course's use, function, quality, or disputes. You understand that any Course-related claim is solely between you and the applicable Instructor.
13. Indemnity
You agree to defend, indemnify, and hold harmless us and our affiliates and their respective shareholders, directors, managers, members, officers, employees, consultants, and agents (the "Space Entities") from any third-party claim, liability, damage, loss, and expense (including attorneys' fees) arising from: (a) your unauthorized use or misuse of the Service or any Course; (b) your violation of these Terms, any applicable law, or regulation; (c) your infringement of any third-party right, including intellectual property or privacy rights; (d) any Course dispute; or (e) any dispute between you and another user.
14. Limitation of Liability
To the fullest extent permitted by law, the Space Entities will not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, goodwill, data, or any intangible losses), arising from your use of or inability to use the Service, whether based on warranty, contract, tort, or any other legal theory.
Our total liability for all claims under these Terms is limited to the greater of: (a) the amount you paid us in the 12 months before the claim, or (b) USD $100.
15. Dispute Resolution
Our Support Team is available via support@myanmarcyberyouths.com to address any concerns you may have regarding the Service. Our Support Team can resolve most concerns quickly to our user's satisfaction.
Before either of us files a claim against the other, we both agree to try to resolve the Dispute informally. You agree to do so by sending us notice to support@myanmarcyberyouths.com and providing (1) your name; (2) the email address(es) associated with your account; (3) a detailed description of the issue; and (4) how you'd like to resolve it.
If we are unable to resolve a Dispute informally, you and us agree to resolve any claims arising out of or relating to these Terms or our Services through binding arbitration in accordance with the Arbitration Rules of the Myanmar Arbitration Centre or another mutually agreed arbitral institution. Each party will bear their own attorneys' fees, unless required by law.
CLASS AND JURY TRIAL WAIVERS. You and us agree that Disputes must be brought on an individual basis only, and may not be brought as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
16. Copyright Complaints
We respect the intellectual property rights of others and expect Users on Space to do the same. If you are a copyright owner or authorized to act on behalf of one, you can report alleged copyright infringements by contacting our designated agent at: support@myanmarcyberyouths.com.
In accordance with applicable laws, Space will, in appropriate circumstances, terminate users who are repeat infringers of intellectual property rights.
17. General Terms
Changes to these Terms
We may revise and update these Terms from time to time. If you continue to access the Services after we post the updated Terms on our website, then you agree to the updated Terms. If you do not accept the updated Terms, you must stop using our Services.
Additional Terms
Your use of the Service is subject to all additional terms, policies, rules, or guidelines applicable to the Service or certain features of the Service that we may post on or link to from the Service (the "Additional Terms"). All Additional Terms are incorporated by this reference into, and made a part of, these Terms.
Entire Agreement
These Terms, together with any Additional Terms and policies incorporated herein by reference, constitute the entire agreement between you and Space regarding your use of the Service, and supersede any prior agreements or understandings on this subject.
Governing Law
The laws of the Republic of the Union of Myanmar will govern these Terms except for its conflicts of laws principles. All claims arising out of or relating to these Terms will be brought exclusively in the courts of Yangon, Myanmar, except as provided in the dispute resolution section above.
